Terms of Service

These terms outline the legal responsibilities between Datashift and customers who use our AI + human review workflows, analytics, and audit capabilities. Please read them carefully.

Acceptance of Terms

By accessing or using Datashift, you agree to these Terms of Service. If you are using Datashift on behalf of an organization, you confirm that you have authority to bind that organization.

Accounts & Access

You must provide accurate registration information, maintain the security of your credentials, and ensure invitations to the workspace are issued only to authorized reviewers.

  • Organization owners control workspace configuration, queues, and billing. They may suspend or remove user access at any time.
  • You are responsible for all actions taken using your API keys, MCP credentials, and reviewer accounts, whether performed by humans or AI agents you configure.

Customer Data & Responsibilities

You retain ownership of the content submitted to review queues, including AI-generated tasks, reviewer feedback, and audit trails.

  • You grant Datashift a limited license to process Customer Data solely to provide AI + human review workflows, analytics, and compliance exports.
  • You will secure appropriate rights and consents before uploading personal data or regulated content, and you will configure retention policies that satisfy your obligations.
  • You will not use Datashift to violate law, send spam, or transmit malicious code. Traffic that does so may be throttled or suspended without notice.

Platform Availability & Security

We operate Datashift with redundant infrastructure, immutable audit logs, and SLA monitoring, but no service can guarantee uninterrupted uptime.

  • We may update, improve, or remove features (such as experimental AI reviewer capabilities) with reasonable notice when practical.
  • Customer support and incident communication follow the plan outlined in our product overview. Critical security issues are prioritized regardless of plan tier.
  • You agree not to attempt to bypass technical controls, probe Datashift systems, or overload the service.

Fees & Billing

Paid subscriptions are billed in accordance with the plan selected on the pricing page.

  • You authorize us to charge the payment method on file for monthly or annual fees, usage-based overages, and taxes where applicable.
  • Upgrades take effect immediately with prorated charges; downgrades apply at the end of the current term.
  • Late or failed payments may result in suspension. You remain responsible for fees incurred before suspension.

Term & Termination

These terms continue until your subscription is terminated.

  • You may cancel at any time via the billing portal; fees already paid are non-refundable unless required by law.
  • We may terminate access for material breach, non-payment, or if providing the service would violate law or third-party rights.
  • Upon termination we will delete or return Customer Data according to your plan's retention commitment, except where the law requires longer storage.

Confidentiality & IP

Each party will protect the other's confidential information using industry-standard safeguards.

  • Datashift retains ownership of the platform, documentation, and underlying technology, including improvements informed by aggregated usage data.
  • Feedback you provide about assignment strategies, analytics, or integrations may be used without obligation, but we will never attribute it without consent.

Disclaimers

Datashift is provided "as is" and "as available". We disclaim all warranties not expressly stated here, including implied warranties of merchantability, fitness, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, or consequential damages, and each party's aggregate liability is limited to the fees paid in the twelve months before the claim.

Changes to These Terms

We may update these terms to reflect product changes or legal requirements. We will post the updated terms and, when material, provide advance notice via email or in-app alerts.
